Legitimate continuation of the social enterprise, after the dissolution cause, if it serves conservative management

The obligation of conservative management, imposed on the directors by Article 2486 of the Civil Code, does not materialise solely in acts that have a liquidation purpose or are necessary to carry out activities that have already been indicated. Acts that result in the creation of new legal relationships with the assumption of additional obligations, or that entail a new business risk, or that are aimed at obtaining new profits cannot therefore be considered prohibited.
