CBA supports Finint Investments in structuring the acquisition of Tommasin Utensili and CUS Tools

Finint Investments’ fund, Finint Equity For Growth, has completed its fifth investment with the acquisition of Tommasin Utensili S.r.l., headquartered in Selvazzano Dentro (PD), and CUS Tools S.r.l., based in Assago (MI). Both companies specialize in designing and manufacturing custom-engineered tools for a wide range of industrial applications.

The transaction includes a minority stake by ABC Company alongside Finint E4G, along with a reinvestment by the selling shareholders, who will maintain a minority stake.

Selling shareholders Simone Tommasin and Mattia Raschetti will take on commercial management roles within the group, aiming to leverage operational and commercial synergies and expand into new markets.

CBA Studio Legale e Tributario advised Finint on the transaction structure, with a team composed of partner Francesco Assegnati and senior associate Andrea Motta.

EY conducted the financial and tax due diligence on behalf of the acquirer.

Law firm Pavia e Ansaldo advised Finint on all corporate, M&A, and banking aspects of the transaction, with a team led by partner Alberto Bianco and comprising counsel Erica Lepore, associates Beatrice Trombi and Elena Giliberti, and partner Francesco Vitella, who handled labor law matters.

The shareholders of Tommasin were assisted by Nima Advisory (M&A advisory) and Trivellato&Grespi for financial matters, as well as by law firm Colla Di Piazza on legal aspects, with a team led by partner Edoardo Colla and including lawyer Giulia Ioan, along with professionals Emma Valle and Ilaria Tapparello.

The shareholders of CUS Tools were assisted by Studio Mario Medici for financial matters and by lawyer Alberto Agnelli for legal aspects.

The transaction was financed by Iccrea, advised by Chiomenti with a team led by partner Davide D'Affronto, senior associate Cettina Merlino, and associates Matteo Venuta and Francesca Mecca Galgano. Tax aspects were handled by of counsel Maurizio Fresca and associate Giovanni Massagli.
