CBA, with a multidisciplinary team coordinated by partner Ilaria A. Belluco and senior partner Luca Fabbrini, advised Alcedo SGR on all legal and tax issues related to the creation of a hub in the evolved sustainable packaging sector.

Our partner Ilaria Belluco and senior partner Luca Fabbrini, assisted by senior associate Riccardo Marini and associate Fabiano Belluzzi, covered the corporate law aspects, while partner Michele Citarella and senior associate Luca Vitale handled the tax issues, partner Francesco Dialti, senior associate Vincenzo Cimmino and associate Claudio Mastrobattista handled the banking law aspects, partner Gianvito Riccio was in charge of the labour law aspects, while the privacy law aspects were taken care of by counsel Giovanna Boschetti.

In particular, CBA has supported Alcedo, starting from 2021, since the establishment of the portfolio company Green Sustainable Packaging S.p.A., a holding company controlled by the SGR through the Fondo Alcedo V, and in the three acquisitions that have led to the establishment of a pole of excellent and complementary realities in the field of packaging solutions. In detail:

•     in April 2022 the company Scatolificio Gondola Triveneto S.r.l. was acquired, the first target to enter the portfolio, active with three divisions (thermoforming, paper-cups and paper-copying) specialising in the production of high quality modular boxes and in the management of small and medium batches in short timescales;
•     in November 2023, Firma Group S.r.l. was acquired, a company active in digital paper converting with an innovative web-to-print site, with a particular focus on display solutions (floor and counter displays, advertising totems, window signs);
•     March 2024 saw the acquisition of Cartotecnica Rigon S.r.l., active in the production and marketing of packaging solutions for the food, mechanical, cosmetics and pharmaceutical sectors.

As regards the target companies, Scatolificio Gondola Triveneto S.r.l. was assisted by the lawyers Alberto Barotti and Nicola Calabrò (Studio BCL Partners), Firma Group S.r.l. was assisted by the lawyer Alessandro Simionato (Studio Di Pede Simionato Associati), and Cartotecnica Rigon S.r.l. was assisted by the lawyers Debora Cremasco and Gioia Carrabetta (Studio Lambertini & Associati).

The financing banks were assisted, for the first two transactions, by Studio Curtis; while, for the last transaction, by Shearman & Sterling with a team led by partner Pasquale Bifulco, assisted by associate Marta Mastroeni.
