CBA with Green Sustainable Packaging for the entry of Tic Tac
CBA Studio legale e tributario has assisted Green Sustainable Packaging S.p.A. ("GSP") in the entry of Tic Tac S.r.l. ("Tic Tac"), a company based in Thiene.
GSP (backed by the Alcedo V fund) is building a diversified group in sustainable packaging and digital printing. Tic Tac has been a pioneer in Italy in the development of digital printing through the e-commerce channel, also thanks to its dedicated web-to-print site, and will become the Group's reference for these technologies.
The transaction was advised by CBA's Ilaria Antonella Belluco, partner in the Corporate, M&A and Private Equity department, who led a multidisciplinary team that included, in addition to Alessia Crozzoli, Gianvito Riccio for labour law aspects and Giovanna Boschetti for compliance profiles.
The Miotto family was assisted by Giovanni Cattelan, while Adacta Advisory acted as financial advisor on the transaction. For Tic Tac, the legal aspects were handled by Studio Legale Grimaldi Treviso.
"The sector in Italy is still too fragmented and the creation of a group of significant size opens up great opportunities for a company like Tic Tac. We will develop commercial synergies that will improve the sustainability of our investments and, at the same time, we will make our e-commerce platform available to the group", says Giancarlo Miotto, CEO of the company.
"The decision to merge is a sensible one for many excellent companies in our region and fits well with the objective of ensuring continuity. In this way, jobs are safeguarded and a new cycle of growth can begin thanks to the shared know-how of each company. It is only with the right size that a company can equip itself with the compliance and internal control systems, commercial networks or R&D that are increasingly indispensable in order to compete", explains Giovanni Cattelan, strategic consultant at Tic Tac.
"First of all, we would like to welcome Giancarlo and his entire team. With the addition of Tic Tac to the Group, we are adding another important element to our development and aggregation programme in response to the ever growing needs of the market. The specific features of web-to-print will be integrated into the purely industrial world of our companies, guaranteeing further synergy and dynamism for the project. The increase in the range of materials, solutions and products on offer and the possibility for our customers to benefit from the just-in-time service typical of e-commerce will make our Group unique in the packaging and communication panorama", says Marco Scantamburlo, CEO of the GSP Group.
