CBA Studio Legale e Tributario advised a pool of banks, led by Banco BPM and including the BCC Iccrea Group (comprising BCC Banca Iccrea and BCC Roma), in the restructuring of ACIAM S.p.A.’s debt – a company operating in the waste management sector – arising from two separate financing transactions.
The debt restructuring followed a corporate reorganization in which shareholder TEKNEKO SISTEMI ECOLOGICI S.r.L. acquired a majority stake in ACIAM S.p.A. and carried out its recapitalization. This was executed under a negotiated settlement agreement (pursuant to Article 23 of the Italian Bankruptcy Code, CCII), the completion of which enabled the closure of the related negotiated settlement procedure.
CBA supported the lending banks throughout the negotiated procedure and in the preparation and negotiation of the financing documentation, with a team led by Senior Associate Vincenzo Cimmino (pictured right) and comprising Associates Claudio Mastrobattista and Lucrezia Ghezzi, under the supervision of Partner Francesco Dialti (pictured left).
The lending banks were also advised on aspects relating to the negotiated settlement procedure by Gianluigi Iannetti, partner at Beelegal Law Firm.
ACIAM and TEKNEKO were assisted on corporate law matters and in the review and negotiation of financing documentation by Antonio Della Pietra.
