CBA advises on Etro’s corporate reorganisation

On 18 December 2025, an industrial investor consortium comprising Rams Global, Mathias Facchini (Swinger International), and Giulio Gallazzi (via Sri Group), in agreement with shareholder L Catterton (which remains the majority shareholder), invested in the share capital of Etro S.p.A., including through the acquisition from Gefin S.p.A. (the Etro family holding company) of the latter’s minority stake in Etro S.p.A.

The transaction – which confirms the industrial and organizational strengthening strategy pursued by the brand in recent years – aims to support Etro’s international growth and enhance its positioning in the luxury lifestyle segment. According to the company, the current valuation exceeds that established at the time of L Catterton’s initial investment, reflecting the brand’s successful development trajectory.

CBA Studio Legale e Tributario advised Rams Global and L Catterton, with a team led by partners Angelo Bonissoni and Daniela Sorgato, and associates Luca Vitale and Mattia de Antoni, coordinating the transaction on legal, tax, corporate, and financial matters.

Gatti Pavesi Bianchi Ludovici, with equity partner Carlo Pavesi and senior associate Eugenio Prosperi, advised Gefin S.p.A., the Etro family holding company.

Gitti and Partners, with partner Francesca Bogoni and associate Mattia Peretti, under the supervision of Chairman Gregorio Gitti, advised Swinger International.

Notary Marcello Tascillo handled the notarial aspects of the transaction.

Regarding Etro’s post-transaction governance, Fabrizio Cardinali has been confirmed as CEO, while Faruk Bülbül, representing Rams Global, will assume the role of Chairman of the Board of Directors, with a mandate focused on consolidating growth and driving international expansion. The new structure is designed to strengthen management, support the development of additional product categories and markets, and simultaneously enhance Etro’s brand identity and heritage.
