International law firm Gianni & Origoni advised UniCredit on the execution of a €73 million financing transaction, benefiting from a guarantee to be issued by SACE, in favour of Teike Srl – assisted by CBA Studio Legale e Tributario – a company controlled by Pioneer Infrastructure Partners Holding S.à r.l.
The financing is intended to support investments in the public lighting and energy efficiency sectors, as well as the acquisition of equity interests in companies operating in these sectors and related business units.
The transaction was structured as a project financing and is divided into two credit facilities: a €65 million senior facility, structured into three sub-tranches, and an €8 million VAT facility.
UniCredit acted as structuring mandated lead arranger, global coordinator and bookrunner, original lender, hedging bank, agent bank, SACE agent and green loan coordinator.
Gianni & Origoni advised UniCredit with a team led by partners Fabio Ilacqua and Arrigo Arrigoni, and including senior counsel Maria Panetta, assisted by senior associate Filippo Andreoni and associates Franco Maria Zeppieri and Teresa Soprano on the drafting and negotiation of the financing documentation, as well as partner Francesca Staffieri and associate Claudia Stradiotti on tax matters.
CBA Studio Legale e Tributario advised Teike Srl with a team led by partner Francesco Dialti, including senior associate Vincenzo Cimmino and associates Valentina Bombino and Lucrezia Ghezzi.
