CBA advises Hi-Dec Edizioni on Alcedo SGR’s acquisition of a 70% stake in EDG

Alcedo SGR S.p.A., through the Alcedo V Fund and with the support of certain co-investors, including Banca Ifis S.p.A., has acquired a 70% stake in EDG S.r.l. (“EDG”), a leading company in the home décor sector specialising in the design, development and distribution of high-quality decorative items. The stake was acquired from Hi-Dec Edizioni S.r.l., the holding company of founder Enzo De Gaspari, who will retain a 30% interest in the company while continuing to serve as Chief Executive Officer.
Alcedo was advised by PedersoliGattai, with a team led by Elisabetta Bellini and including Filippo Sani and Elisa Cimenti on corporate and contractual matters, and Enrico Morolli and Riccardo Ramella on banking matters.
Hi-Dec Edizioni S.r.l. was advised by CBA Studio Legale e Tributario with a team led by Partner Ilaria A. Belluco who, together with Associate Alessia Crozzoli, handled all corporate law matters, and, together with Senior Associate Federica Rota and Associate Pierluigi Alessio, advised on the holding company’s real estate management aspects.
EDG and the holding company were supported by Circle Brain S.r.l. as strategic and financial advisor, through a team led by Partner Federico Fiamengo, who worked closely with the founder throughout the company’s strategic development process.
Financial due diligence, as well as tax and structuring aspects of the transaction, were handled by PwC, with teams led by Alessandro Curri, Daniela Zagolin and Michele Schiavon for the financial due diligence, and by Lara Guiotto, Paolo Bettinardi and Elisabetta Faldini for tax and structuring matters.
Simon-Kucher assisted Alcedo with the commercial due diligence through Francesco Fiorese, Marco Torino, Sara Orsenigo and Leonardo d’Achille, while ERM handled EHS and ESG matters with a team led by Giovanni Aquaro and Andrea Perna.
Commercial and tax advice to the founder was provided by accountants Mario and Federico Sarti, while the vendor financial due diligence was carried out by EY, with a team led by Partner Vincenzo Chiaia, supported by Francesco Fornari and Martina Centrone.
The transaction was financed by MPS, UniCredit, Cassa Centrale and Banca Prealpi, advised by McDermott Will & Schulte, with Alfonso de Marco and Luca Airaghi.
Notarial formalities were handled by Notary Andrea Todeschini.
For Alcedo, the transaction was led by Managing Partners Maurizio Tiveron and Filippo Nalon, Investment Director Mattia Balagion and Associate Giovanni Lorenzetto, and represents the eighth investment of the Alcedo V Fund.
Founded in 1974 and headquartered in Santa Maria di Sala (Venice), EDG has recorded steady growth over time, closing FY2025 with a value of production exceeding €62 million. Alcedo’s investment is aimed at supporting the company’s next phase of structured medium- to long-term growth, with a focus on three strategic pillars: brand enhancement, expansion of sales channels and internationalisation, including through potential complementary and synergistic initiatives.
