CBA Studio Legale e Tributario and Orrick, Herrington & Sutcliffe advised, respectively, F&P Equity Partners and the financing banks in the transaction that led to the fund’s entry into the share capital of Nachmann S.r.l. The Italian group, a leader in the specialty chemicals sector, is controlled by the Cotilli family, which was advised by attorney Mattia Odescalchi, founder of the eponymous Milan-based law firm, together with Scouting Capital Advisors.
This investment (F&P Equity Partners’ sixth) was carried out through a NewCo, 60% owned by a vehicle sponsored and managed by the firm and backed primarily by industrial investors, and 40% owned by the Cotilli family. The closing took place as part of a leveraged buyout transaction financed by Crédit Agricole Italia S.p.A. (as agent bank), Banca Monte dei Paschi di Siena S.p.A., and BNL BNP Paribas.
CBA Studio Legale e Tributario advised F&P Equity Partners with a multidisciplinary team led by partner Ilaria Antonella Belluco, with partner Luca Fabbrini and associate Alessia Crozzoli handling all corporate and contractual matters, as well as associate Matteo Maci for corporate due diligence; partner Francesco Dialti, together with senior associate Vincenzo Cimmino and associates Valentina Bombino and Lucrezia Ghezzi, on finance matters; partner Gianvito Riccio for labor due diligence; and Giovanna Boschetti for privacy matters.
